NUTS & BOLTS OF TRANSACTIONAL PRACTICE

A Continuing Legal Education program designed to introduce important but often misunderstood areas of the law to beginning and mid-level attorneys.

Did you ever want to learn the essentials of corporate law or real estate transactions but were never exposed to them or had the opportunity?

Are you a general practitioner that wants to expand your client portfolio to include potential employers as clients?

Are you a seasoned attorney with a law firm and need a refresher course on employment issues or real estate ?

Do existing or potential clients ask you about the differences between immigrant and non-immigrant visas?

Do you need to satisfy some MCLE credits, including the ethics component?

If you answered yes to any of these questions, then this program is perfect for you.

The MBA’s inaugural CLE program will focus on practical aspects of real estate, employment, and corporate transactional practice that are often not taught in law school. There will also be a section on the salient features of immigration law. This program will be most beneficial to new and mid-level attorneys who are in solo or small firm practice settings. But it can also serve as a refresher course for seasoned attorneys in real estate, corporate, employment practice. The four topics to be covered have been chosen in order to provide attorneys to learn or review the basics of business transactional practice. There will also be a special section on ethics and professionalism, which is an MCLE requirement. The Program is listed below.

Kymn Harp is a partner with Robbins Saloman and Patt where he is a trusted advisor to investors, business owners, commercial real estate developers and commercial lenders. Since 1978, Kymn [pronounced "Kim"] has focused his practice in two complementary areas of law: (1) commercial real estate development, entitlement, acquisition and financing; and (2) business development, management, acquisitions and sales. Kymn has substantial experience handling commercial loan workouts and complex and distressed transactions. For over thirty years Kymn has actively represented clients in developing, entitling, financing and transferring shopping centers, mixed-use developments, office buildings, warehouses and industrial properties, as well as non-conventional projects including sports and entertainment facilities, restaurants, health care facilities and other specialty developments. Kymn is a member of the Chicago Real Estate Council, Illinois State Bar Association, Indiana State Bar Association, and State Bar of New Mexico. Kymn has a Martindale-Hubbell Peer Review Rating of AV for Ethical Standards and Legal Ability and is a multi-year Super Lawyer designee in commercial real estate. Kymn is a widely published author and frequent speaker. His 2009 book entitled INTENT TO PROSPER, VOL. 1 - COMMERCIAL REAL ESTATE includes a compilation of many of his most popular articles on topics relating to commercial real estate due diligence, financing and development.

Jeremy Glenn is a partner at Meckler, Bulger and Tilson where he represents management in labor and employment litigation and counseling matters. From the ADA to the Wage and Hour Division of the DOL, Jeremy’s practice encompasses all aspects of the employer-employee relationship. Jeremy’s trial skills have been honed in federal and state courts and administrative hearings involving individual and class action wage and hour/overtime disputes, harassment, discrimination, wrongful termination, non-compete agreements, OFCCP compliance and retaliatory discharge cases. Jeremy has first-chaired over a dozen labor arbitration trials and regularly advises employers on traditional labor matters such as union avoidance, elections and collective bargaining. Jeremy designed a proactive approach to human resources counseling to help his clients avoid litigation through effective workplace policies, procedures and training programs and these innovative ideas led to appearances on CBS' The Early Show with Bryant Gumbel and in Crain's Business Insurance Magazine. Jeremy regularly speaks and writes for national publications on employment law topics. He is the Editor-in-Chief of the Age Discrimination in Employment Law treatise supplement, a member of the senior editorial board for Wage and Hour Laws: A State-by-State Survey, a chapter author for How to Take a Case Before the NLRB and chairs the ABA subcommittee on the ADEA.

Fazila Vaid is an attorney with Masuda Funai Eifert & Mitchell where she assists multinational corporations and business professionals with temporary and permanent residence matters, including a full range of nonimmigrant and immigrant visas and PERM applications. In addition, Ms. Vaid addresses issues related to family-based immigration matters. Ms. Vaid has devoted her career to the practice of immigration and nationality matters. After graduating from law school in 2000, Ms. Vaid was employed as an associate in the immigration department of a mid-size law firm in downtown Chicago, where she represented corporations, universities, hospitals, medical institutions, foreign medical graduates and individual clients with temporary and permanent residence matters. Ms. Vaid frequently speaks at community-based legal clinics, where she disseminates information regarding current immigration laws and regulations. In addition, she has served as pro bono counsel to low-income individuals in asylum matters for the Midwest Immigrants Human Rights Center, an organization that she has been involved with since law school.

Tracy L. Kepler is Senior Litigation Counsel for the Illinois Attorney Registration and Disciplinary Commission (ARDC), where she concentrates her practice in the investigation and prosecution of attorney disciplinary matters. Ms. Kepler currently serves as Secretary to the National Organization of Bar Counsel (NOBC), a non-profit organization of legal professionals whose members enforce ethics rules that regulate the professional conduct of lawyers who practice law in the United States, Canada and Australia. She has previously served as the NOBC’s Director-at-Large from 2009-2011. Ms. Kepler is the NOBC Liaison to the ABA Standing Committee on Ethics & Professional Responsibility, and from 2009-2011, she served as the NOBC Liaison to the ABA Standing Commission on Legal Assistance Programs. Ms. Kepler is an active member of the ABA and a frequent presenter of ethics related topics to various national, state and local organizations. Prior to joining the Commission in 2000, Ms. Kepler served as Regional Counsel for the Illinois Department of Children & Family Services. She is a graduate of Northwestern University in Evanston, Illinois, and received her law degree from New England School of Law in Boston, Massachusetts.
